Benesse Corporation Announces Transition to a Holding CompanyStructure through a Corporate Spin-off and a Company Name Change Benesse Corporation (“the Company,” plans to change its name to Benesse Holdings, Inc. on October 1, 2009) today announced that at the Board of Directors Meeting held on April 30, 2009, it was resolved to transfer the Company’s businesses to a company (“Benesse Corporation,” the “New Company”) that will be newly established on October 1, 2009 through a spin-off to create a new company (“the spin-off”). Through the Spin-Off, the Company will become a holding company and continue to be listed on stock exchanges as Benesse Holdings. The Spin-Off and change of company name are subject to approval by the Company’s general shareholders’meeting, scheduled for June 27, 2009, as well as the necessary regulatory approval. Precise details relating to the new holding company are under discussion, and will be advised once decided. Due to the fact that this is an incorporation-type spin-off, certain matters and content for disclosure have been omitted from this announcement.
