Benesse announces the shift to new management structure introducing Corporate Executive Officers

 Benesse Corporation decided at the board of directors meeting on February 7 that the company will introduce Corporate Executive Officers starting from April this year, separating the supervision and executive management. Thus, by downsizing the Board of Directors and improving the speed of decision-making and the transparency, we aim to improve our corporate governance.
With the introduction of Corporate Executive Officers, Masayoshi Morimoto, a current adviser and former Corporate Senior Executive Vice President of Sony Corporation as well as former President and Representative Director of Aiwa Co., Ltd., will assume the position of the Chief Executive Vice President. Also, please be notified that it has been tentatively decided that, as of April 1 as well as after the general shareholders' meetings on June 25, there will be changes in and transfers of representative directors.

1. Corporate Executive Officers with terms of one year will be introduced.
2. The Board of Directors will be downsized, improving the speed of decision-making. Six out of the current directors will resign from the board as of March 31 and be inaugurated as Corporate Executive Officers. At the general shareholders' meeting on June 25, external directors are scheduled to be appointed, with the aim of further improving our corporate governance toward the future.
3. The existing in-house companies will be reorganized. The representatives of the companies will be appointed as Corporate Executive Officers (company presidents). Also, Corporate Executive Officers will be appointed in corporate staff divisions. Thus, by enhancing delegation of authorities, we will promote speedy and appropriate decisions to be made near the customers and market.
4. The management structure after April 1 and June 25(the general shareholder's meeting to be held)will be as attached.
